Terms of Service
1. Services
DialCraft provides bespoke AI workflow automation design, build, and maintenance services to businesses globally. Specific deliverables, timelines, and scope are defined in a written Scope of Work (“SOW”) agreed between the parties before work commences. No work begins without a signed SOW.
2. Payment terms
Fees are invoiced monthly in advance in USD (or AUD, GBP, EUR by agreement). Invoices are due within 7 business days of issue. Late payments may incur a 1.5% monthly interest charge. DialCraft reserves the right to pause delivery on overdue accounts without liability.
3. Minimum engagement
Engagements run month-to-month with no lock-in contract. Either party may cancel with 30 days’ written notice. Fees for the notice period remain payable in full. Build-and-deploy fees are non-refundable once work has commenced.
4. Intellectual property
Upon receipt of full payment, the client receives full ownership of all custom-built automation logic, workflows, and documentation delivered under the SOW. DialCraft retains the right to use methodology, frameworks, and non-client-specific components in future engagements.
5. Confidentiality
Both parties agree to keep confidential all non-public information shared during the engagement. This obligation survives termination of the agreement for a period of 3 years, except for trade secrets, which remain protected for as long as they qualify as such under applicable law.
6. Warranties & limitation of liability
DialCraft warrants that services will be delivered with reasonable skill and care. To the maximum extent permitted by law, DialCraft’s total liability for any claim arising from a service engagement shall not exceed the greater of the total fees paid in the 3 months prior to the claim, or USD 5,000. DialCraft is not liable for indirect, consequential, or loss-of-profit damages, and does not guarantee any specific business outcome (revenue, leads, bookings, or conversions) from the Services.
7. 30-day post-launch coverage
All deployments include 30 calendar days of post-launch monitoring and bug-fix coverage at no additional cost. Coverage applies to failures caused by platform updates, edge cases, or data anomalies — not to changes in business requirements or scope after sign-off.
8. Governing law
These terms are governed by applicable law in the jurisdiction of the client, with the intent to comply with Australian Consumer Law, UK consumer protection legislation, and equivalent statutes in jurisdictions where DialCraft operates.
